6. Fees, Billing, and Subscription (Recurring Charges)#

6.1 Subscription Plans & Billing Cycle.#

The Service is offered on a monthly or annual subscription basis, or as expressly stated in your checkout or signed Order Form. For monthly subscriptions placed on calendar-month billing, the following rules apply. An expressly agreed different billing arrangement in a signed Order Form controls for that account.

(a) Service Month and time zone. Except for an initial prorated period under paragraph (b), each paid service period runs from the first calendar day to the last calendar day of the month (the “Service Month”). All billing dates, day counts, charge times and payment deadlines use Malaysia Time, MYT (UTC+8; Asia/Kuala_Lumpur), unless your signed Order Form expressly states otherwise. For last-day signups under paragraph (f), the first paid Service Month is the next month.

(b) First-month subscription-fee and Plan Response proration. Except for the new-customer last-day signup rule in paragraph (f), your first subscription payment covers the activation date through the last calendar day of that month, inclusive of both dates. The charge is the applicable full monthly subscription fee multiplied by the number of included calendar days and divided by the actual number of calendar days in that month (28, 29, 30 or 31). A first-day activation costs a full month; new-customer last-day signups receive the subscription-fee waiver in paragraph (f). Time of day does not create an additional hourly adjustment. Paid activation requires a successful initial payment; we do not backdate paid activation to a failed or abandoned checkout. The initial monthly Plan Response allowance is also prorated using the same included days and actual number of days in the activation month, as set out in Section 6.9. The last-day subscription-fee waiver does not waive this Response proration.

(c) Calculation and disclosure. The checkout will show the monthly fee, activation date, first service-period end date, included days, first payment, next charge date and time, and the period covered by the next charge. We round the calculated charge once to the currency’s smallest unit (two decimal places for MYR). Applicable discounts and whether tax is included or added are shown separately; tax is not added twice to a tax-inclusive price. One-time setup, training, integration and other non-recurring charges are not prorated unless expressly stated. For last-day signups, checkout shows the waived current-day subscription fee, the single full-month payment, next month’s paid dates and the next Renewal Charge Date and time. Checkout also shows the plan’s full monthly Plan Response allowance, the first period’s included days and calculation, the resulting initial allocation and its expiry, and the next full monthly allocation and its start date. For last-day signups, the one-day allocation is shown separately from the next month’s full allocation; it is not calculated from the zero signup-day subscription fee.

(d) Month-end advance payment. The full fee for the next Service Month is charged on the last calendar day of the preceding month, at the time shown in the billing portal (“Renewal Charge Date”). For example, a charge on 30 September pays for 1–31 October; a charge on 31 October pays for 1–30 November. This is a charge for the next month, not a second charge for the current month. A full monthly fee does not change merely because a Service Month contains a different number of days. Scheduled charge dates are not postponed because of weekends or public holidays; bank settlement timing may differ.

(e) Worked example. At RM1,200 per month, activation on 7 September 2026 gives 24 included days (7–30 September): RM1,200 × 24 ÷ 30 = RM960. The next charge is RM1,200 on 30 September 2026 for October, followed by RM1,200 on 31 October 2026 for November. This illustration assumes an unchanged fee and no additional tax or discount. For the Business plan with 30,000 Plan Responses per month, the same 24-day first period provides 24 ÷ 30 × 30,000 = 24,000 Plan Responses for use from successful activation through 30 September 2026. Subject to the subscription remaining active under these Terms, a separate full 30,000 Plan Responses becomes available on 1 October for October.

(f) New-customer last-day signup — subscription fee waived; Plan Responses prorated. If a new customer subscribes and successfully completes the initial payment on the last calendar day of a month in MYT, the signup day’s prorated subscription fee is waived. Only the full monthly subscription fee for the next calendar month is collected at signup. Following successful payment, access for the remainder of the signup day is at no additional subscription charge; the paid Service Month begins on the next month’s first day. This payment satisfies that next month’s fee and must not be collected again on the signup day or when that month begins. The next Renewal Charge Date is the last day of the prepaid month, for the month after it. After successful initial payment, the remaining signup day receives a separate prorated Plan Response allowance equal to one calendar day divided by the actual number of days in that signup month, multiplied by the subscribed plan’s full monthly Plan Response allowance. That one-day allowance is usable only during the remaining signup day and expires at month-end under Section 6.12. Its use does not reduce the next month’s full Plan Response allowance, and next month’s allowance cannot be used early on the signup day.

Last-day example: a new customer subscribing on 30 September 2026 pays RM1,200 for 1–31 October, with no 30 September subscription fee. The next payment is RM1,200 on 31 October for 1–30 November, assuming an unchanged fee and no additional tax or discount. If that plan includes 30,000 Plan Responses per month, the customer receives 1 ÷ 30 × 30,000 = 1,000 Plan Responses for 30 September 2026, then a separate full 30,000 Plan Responses for 1–31 October 2026. Any unused September allocation expires at September month-end and is not added to October’s allowance.

(g) Monthly add-ons. Recurring monthly add-ons use the same calendar-month schedule, with their first partial month calculated from their activation date, unless a different arrangement is expressly stated at checkout or in your signed Order Form. Annual subscriptions, free trials and one-time Top-Ups are not automatically converted to this monthly schedule; their disclosed terms continue to apply.

6.2 Automatic Renewal.#

Unless you cancel before the Renewal Charge Date and time shown in your billing portal, your monthly subscription renews for the next Service Month and you authorise AI WorkerX and its payment processor to collect that month’s advance fee. Last-day signups follow Section 6.1(f) without rebilling the prepaid month. Annual plans renew on their separately disclosed annual schedule. A delayed or retried collection does not move the covered Service Month or the next scheduled month-end charge date.

The portal and checkout distinguish the charge date from the service-period start date. Do not assume that cancelling on the first day of the next month prevents a charge that was already due on the last day of the previous month. For an active subscription, we may send renewal reminders in addition to displaying this information, and will provide any notice required by applicable law or payment-network rules.

6.3 Recurring Billing Authorisation.#

By actively accepting the recurring-payment authorisation at checkout, you authorise the disclosed first prorated charge or, for a new customer’s last-day signup under Section 6.1(f), the single initial full-month advance charge with no signup-day subscription fee, followed by the subsequent monthly advance charges, including up to two permitted automatic retries of a failed renewal charge under Section 6.6. The initial attempt plus the retries must not exceed three automatic card-charge attempts for the same unpaid renewal invoice across AI WorkerX and its payment processor combined. The checkout acknowledgement also identifies the prorated initial Plan Response allowance, including the separate one-day allowance for an eligible last-day signup, and the next month’s full allowance. Allocating these Responses does not authorise an additional subscription charge.

You must be the cardholder or have the cardholder’s valid authority and, where applicable, authority to purchase for the account organisation. Your authorisation states the amount or disclosed calculation, currency, frequency, first service period, next charge date and that recurring charges continue until cancelled. We will obtain any further authorisation required for a material change. Updating a card does not by itself authorise unrelated charges or override a cancelled mandate. Card details are submitted through the payment processor’s secure payment flow, not by email or chat.

AI WorkerX may record and use necessary billing-consent and transaction evidence, including the accepted policy and checkbox text/version; user and account identifiers; timestamp and time zone; device/IP information; the monthly fee, any fee-proration calculation and the last-day signup fee waiver where applicable; the subscribed monthly Plan Response allowance, included-day calculation, final initial allocation, activation/expiry timestamps, monthly resets and usage deductions; service-period dates; invoices and receipts; payment references; attempt counts and processor responses; notification recipients and dispatch records; the fixed payment deadline; cancellation or mandate-withdrawal records; and relevant service-delivery evidence. We may share necessary records with payment processors and banks for payment administration, fraud prevention, disputes and chargebacks. Retention, access controls and team-member disclosures are described in the Privacy Policy. This permission does not authorise storage of full card numbers, CVV/CVC, PINs or one-time passwords.

6.5 Cancellation.#

You may cancel using the billing portal or obtain assistance at support@aiworkerx.com, as described in the Refund & Cancellation Policy. To avoid the next monthly advance charge, cancel before its displayed Renewal Charge Date and time. A cancellation received before that cutoff stops the next renewal, while access continues through the end of the current paid service period. If a valid next-month renewal has already been charged or become due under the accepted schedule, cancellation stops subsequent renewals; the treatment of that committed service period and any refund is governed by the Refund & Cancellation Policy.

We stop further automatic charges and pending retries under a cancelled recurring-payment mandate once cancellation or withdrawal is received and recorded. This does not by itself erase a properly accrued amount already due, which must be handled without unauthorised further card charges. We will correct a charge submitted contrary to a timely recorded cancellation. Removing a card, receiving a failed-payment notice or stopping use is not a substitute for cancelling the subscription.

6.6 Payment Failures.#

(a) Scope and fixed deadline. For an active paid subscription renewal that fails, we allow a three-calendar-day payment window before a payment-only suspension. This means 72 consecutive hours from the first failed scheduled attempt, including weekends and public holidays (“Payment Deadline”). The first failure notice states the exact deadline and time in MYT. Every later notice for that invoice repeats the same deadline; another failed attempt does not restart or shorten it. We may expressly extend the deadline in writing. Initial unpaid subscriptions and one-time purchases require successful payment before the paid entitlement is activated and do not automatically receive this renewal grace period.

(b) First attempt — Day 1. If the scheduled charge fails, we email all current active members of the affected account, including the owner, administrators and ordinary users. The notice states that payment was unsuccessful, the affected account/services, the exact Payment Deadline, the risk of service interruption, and how the owner or an authorised billing user can resolve it. An appropriate confirmed failure reason may be included subject to paragraph (f).

(c) Second attempt — Day 2. Where the payment processor permits a retry and the mandate remains valid, we normally retry approximately 24 hours after the first failed attempt. If it fails, we email all current active team members again with the unchanged Payment Deadline and service-interruption warning.

(d) Third attempt — Day 3. Where permitted, we normally make the final automatic attempt approximately 48 hours after the first failed attempt. If it fails, we email all current active team members with the same Payment Deadline and stop all further automatic attempts for that unpaid renewal invoice. Our business team will contact the owner or an authorised administrator to help update the payment method or arrange a separately authorised manual payment. This assistance does not automatically extend the deadline and does not promise round-the-clock staffed support.

(e) Day 4 and suspension. If payment remains unresolved when the 72-hour deadline expires, the affected paid services will be suspended from that time on Day 4 until resolved under paragraph (h). Non-payment of a base account subscription may interrupt its AI responses, agents, automations, integrations and paid features for all account members. Where only an independent add-on is unpaid, suspension is limited to that add-on and features dependent on it unless account-wide suspension is reasonably necessary. We notify all current active team members of suspension and subsequent restoration. A payment-only suspension will not take away a separately paid, unaffected service period. Earlier restrictions may still be necessary for fraud, security, unlawful use, a chargeback or a binding processor/legal direction under other provisions of these Terms.

(f) Notification content and privacy. All-member emails contain account/service status and the deadline, not full card details, raw issuer responses, suspected-fraud information or personal financial details. Detailed invoices, amounts, payment-method details and any specific decline explanation are limited to users with billing permission. We disclose a reason only where the processor has supplied a reliable, appropriate customer-facing explanation; otherwise we say the payment was declined or could not be completed and ask an authorised user to contact the issuer or update the payment method. A generic decline must not be described as insufficient funds. Operational notices are not marketing and do not make ordinary team members personally responsible for the account debt.

(g) Retry safeguards. Three attempts is a maximum, not a promise to retry a prohibited transaction. We stop earlier after payment succeeds, cancellation/mandate withdrawal, a non-retryable refusal, a stop-payment instruction or a processor/card-network restriction. A pending or uncertain result is checked before another charge is submitted. Card replacement, processor failover, reminders or contacting support do not reset the automatic-attempt count for the invoice. A later payment initiated or expressly authorised by a user through a secure payment flow is separate from this automatic schedule, but remains subject to processor rules. No automatic fourth attempt is made for that invoice. If retries are skipped, the notice explains that another payment method or user action is needed without falsely reporting an attempt that did not occur.

(h) Assistance and restoration. The owner or an authorised billing user may pay through a supported secure payment link, update the payment method, or use an approved manual bank-transfer/invoice arrangement. A pending transfer or screenshot alone is not proof of completed payment. Once the processor confirms payment as successful, or an approved bank transfer is received and verified, we restore eligible services as soon as reasonably practicable; we do not require the processor’s later settlement payout to AI WorkerX before recognising an already confirmed successful customer payment. Pending retries are cancelled to prevent duplicate collection. We notify the account when access is restored. Paying late does not restart the month, grant a second Response allocation or extend the paid period; amounts properly due for the affected period remain payable. Missed automations or messages are not guaranteed to replay and should be reviewed before restarting.

(i) No indefinite renewal accumulation. Suspension is not cancellation, but while the account remains fully suspended for non-payment we do not automatically create further monthly subscription charges for later wholly suspended Service Months unless a separate signed agreement expressly provides otherwise. Existing properly accrued charges remain due. Before a later restart, we disclose the arrears, any new current-period charge and the next renewal date and obtain the required payment authority. Payment-only suspension does not itself delete Customer Data; retention is governed by the Privacy Policy. We do not add a separate automatic-retry fee under this schedule.

6.7 Payment Processor Actions.#

Payment processing is provided by third-party payment processors. You acknowledge that payment processors may impose restrictions, holds, reversals, or other actions (including stopping future subscription payments in the event of a chargeback or complaint) and AI WorkerX is not responsible for losses caused by such processor actions.

The grace period and retry limit do not override a valid stop-payment instruction, cancellation, authentication requirement or binding payment-network rule. Processor outages or status uncertainty will be investigated before another collection; confirmed duplicate or erroneous charges will be corrected under the Refund & Cancellation Policy.

6.8 Subscription Fees Only.#

AI WorkerX payment processing (if offered) is solely for collecting AI WorkerX’s own subscription fees and related charges payable to AI WorkerX. Users may not use AI WorkerX to collect payments from their own customers through AI WorkerX’s billing/payment setup.

6.9 Responses: Plan Responses and Top-Up Responses.#

Certain plans include usage units (“Responses”) as part of the subscription (“Plan Responses”). Users may also purchase additional prepaid Responses (“Top-Up Responses”) as an add-on.

(a) Initial monthly Plan Response allocation. For a calendar-month monthly subscription that includes a fixed Plan Response allowance, the initial allowance is prorated from the successful activation date through the last day of that month, inclusive of both dates. The calculation is: included calendar days ÷ actual calendar days in the activation month × the subscribed plan’s full monthly Plan Response allowance. The month may contain 28, 29, 30 or 31 days. A first-day activation receives the full monthly allowance. The calculated allocation is available for the initial period after successful payment; it is a total allowance for that period, not a separate daily limit. There is no additional hourly proration.

(b) Last-day signup. The same calculation applies with one included day even though Section 6.1(f) waives that day’s subscription fee. For a 30,000-Response monthly plan activated on 30 September 2026, the initial allowance is 1 ÷ 30 × 30,000 = 1,000 Plan Responses, available only for the remainder of 30 September after successful payment of October’s fee. This is a separate complimentary-day allocation, not an advance deduction from October’s full 30,000 Plan Responses.

(c) Full months, expiry and payment recovery. Each subsequent full Service Month receives the subscribed plan’s full monthly Plan Response allowance; it is not prorated merely because calendar months have different lengths. The allowance becomes available at 00:00 MYT on the first day of the relevant Service Month, not on the prior month-end payment date, subject to the subscription’s access status under these Terms. Unused initial-period Responses, including the complimentary last-day allowance, expire under Section 6.12 and do not carry into or increase the next month’s allowance. Usage permitted during a renewal grace period counts against that Service Month’s allowance and is not granted again after payment recovery.

(d) Calculation precision and scope. The allocation is calculated once for the complete initial period; we do not first round a daily allowance and then multiply it. Where the calculation produces a fraction of a Response, the applicable whole-Response rounding method and final allocation must be disclosed at checkout before payment. This rule applies to subscription-included monthly Plan Responses, not separately purchased Top-Up Responses. Annual plans, free trials and expressly different signed Order Forms retain their disclosed allowance arrangements.

6.10 Priority Deduction Rule.#

When you use the Service, Plan Responses are deducted first. If Plan Responses are insufficient, Top-Up Responses will be deducted for the remaining usage.

6.11 Top-Up Validity and Burn (Expiry).#

Top-Up Responses are valid for twelve (12) months from the date of purchase. Any unused Top-Up Responses expire automatically at the end of the validity period and are forfeited (“burned”), with no refund or credit, except where required by applicable law.

6.12 No Carryover of Plan Responses (Unless Stated).#

Plan Responses (subscription-included) do not carry over to the next billing cycle unless explicitly stated at checkout.

For calendar-month plans, unused Plan Responses expire at the end of the relevant Service Month (including the first prorated Response allocation and the complimentary last-day signup allocation), unless a different rule is expressly shown at checkout. Advance collection, a retry, grace-period access or a suspension does not extend or restart that allowance.

6.13 No Cash Value and Non-Transferable.#

Responses are non-transferable, may not be resold, and have no cash value. Responses are usage entitlements for the Service and are not a deposit, stored-value facility, or bank account.

6.14 Top-Ups Are One-Time Purchases.#

Top-Up Responses are charged at the time of purchase and do not auto-renew.

The monthly proration and automatic renewal-retry rules do not apply to one-time Top-Up purchases. A failed Top-Up purchase does not create purchased Responses, renew a plan or cancel a separately paid subscription.

6.15 Usage Records and Balance Display.#

AI WorkerX maintains usage records and logs to administer Response balances and support billing disputes and chargeback handling. We may display remaining Plan Responses and Top-Up Responses (including expiry dates) via dashboard or statements. However, you remain responsible for monitoring your usage and expiry dates. Our allocation records distinguish the plan’s full monthly allowance, included calendar days, the first-period calculation and final allocation, the complimentary last-day allowance where applicable, and each allocation’s activation, expiry, consumption and monthly reset. The initial allowance and next month’s full allowance are separate records so usage is not deducted from the wrong month.

6.16 Existing Subscriptions and Migration.#

The new calendar-month schedule applies from the account-specific adoption date shown at checkout or communicated to the account. Existing users receive at least 30 calendar days’ advance notice before an existing billing date is changed, unless they actively request and accept an earlier migration. We disclose any bridging period, credit, prorated amount, next charge date/time and revised payment authority before collecting it. We do not charge again for days already paid for or retrospectively recalculate completed billing periods. Annual plans and separately negotiated billing arrangements remain unchanged unless expressly agreed. Adopting the initial Plan Response-proration rule does not retrospectively reduce a Plan Response allowance already granted for an existing service period.

6.17 Billing Records, Order of Terms and Mandatory Rights.#

The billing portal and invoices identify the covered service dates separately from the collection date. The Refund & Cancellation Policy governs billing corrections and refunds and the Privacy Policy governs related personal data. The three-attempt limit is applied to each unpaid renewal invoice, not separately to each team member. A reminder or support contact is not a new payment attempt. Nothing in these Terms limits non-excludable legal or cardholder rights. Amounts collected in error or duplicate and refunds expressly due under the Refund & Cancellation Policy must be returned or corrected and are not reduced by the damages cap in Section 14.

The notice will identify the change, effective date and cancellation option. We obtain renewed payment authorisation where required and do not apply changes retrospectively to paid periods.
